EOP Media (“Company”) provides the following services to clients:
Marketing Services – including but not limited to branding, digital marketing, content creation, advertising, SEO, and social media management.
Staff Augmentation – providing skilled professionals for short-term and long-term engagements, including fractional CXO placements.
Training Services – offering workshops, courses, and professional development programs.
All services are provided under the terms outlined in this agreement.
Engagement and Service Terms
The scope, deliverables, and timelines for each service will be defined in a separate service agreement, proposal, or statement of work (SOW).
The Company will perform services professionally and in accordance with industry standards.
The client agrees to provide all necessary information, resources, and cooperation required for service execution.
Payment Terms
Clients must adhere to the payment terms outlined in their specific service agreement or invoice.
Payments are due 30 days from the invoice date unless otherwise agreed upon in writing.
Late payments may incur a penalty of .5% per month on the outstanding balance.
For retainer-based or recurring services, payments will be billed automatically on a monthly basis.
No refunds will be provided for services already rendered.
Cancellation and Termination
Marketing Services Cancellation
Either party may terminate marketing services with 30 days written notice.
If canceled before campaign completion, the client remains responsible for all work completed up to the termination date and any third-party costs incurred.
Prepaid fees are non-refundable.
Staff Augmentation Services Cancellation
Either party may terminate staff augmentation services with 30 days written notice.
If the client cancels without the required notice, they will be billed for 1 month as an early termination fee.
Any remaining balance on an engagement will be due immediately upon termination.
Training Services Cancellation
Clients canceling individual training courses will receive a credit equal to the original purchase amount (less applicable taxes), valid for future training or services.
No refunds will be issued for cancellations.
Special training programs, including “The Big Ideas Experience,” have separate cancellation policies.

Intellectual Property
The Company retains ownership of all pre-existing intellectual property, methodologies, and proprietary materials used in service delivery.
Marketing deliverables (e.g., graphics, written content) created for the client become the client’s property upon full payment unless otherwise stated.
Training materials are for personal or internal business use only and may not be distributed, copied, or resold without written permission.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement.
Confidential information shall not be disclosed to third parties without written consent, except as required by law.
Limitation of Liability
The Company is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the services.
The Company’s total liability for any claim shall not exceed the total amount paid by the client for the specific service in question.
Non-Solicitation
The client agrees not to directly solicit or hire any Company employees, contractors, or consultants engaged in providing services for 1 year after service completion.
If a client hires a Company staff member during this period, a recruitment fee of 10% of the employee’s annual salary will be due immediately.
Dispute Resolution
Any disputes shall first be resolved through good-faith negotiations between the parties.
If no resolution is reached, disputes will be handled through arbitration in Williamson County, Texas.
Changes to Terms and Conditions
The Company reserves the right to update these Terms and Conditions at any time.
Clients will be notified of any material changes via email or an update on the Company’s website.
